REQUEST FOR EXPRESSIONS OF INTEREST (CONSULTING SERVICES – FIRMS SELECTION) Country: Kenya Project: Regional Infrastructure Finance Facility (RIFF) Project ID: P171967 Loan No./Credit No./ Grant No.: IDA-67110 Assignment Title: Consulting services for Financial Model Auditor for Project Finance Loans in the Trade and Development Bank (TDB) portfolio under the Regional Infrastructure Finance Facility (RIFF) Reference No.: KE-TDB-532842-CS-CQS The Eastern and Southern Africa Trade and Development Bank (TDB) Group has received financing from the World Bank toward the cost of the Regional Infrastructure Finance Facility (RIFF) and intends to apply part of the proceeds for consulting services. The consulting services (“the Services”) include the Consulting services for Financial Model Auditor for Project Finance Loans in the Trade and Development Bank (TDB) portfolio under the Regional Infrastructure Finance Facility (RIFF) assignment for a period of eight (8) calendar weeks from contract commencement date. The objectives of the assignment are to, Carry out the structural review of the financial model(s); carry out the tax review of the financial model(s); evaluate whether the cash flow projections are realistic expectations according to the project type; check the accounting treatment of the cash flow projections in the model; confirm historical costs paid and historical equity and debt utilized to fund the costs. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services . The shortlisting criteria are: Core business and years in business: The firm shall be registered/incorporated as a consultancy firm in the business of conducting Financial Model audits or a related field for at least 5 years A Relevant experience: The firm shall demonstrate successful execution and completion of at least three (3) assignments of a similar nature and complexity in similar operating environment (i.e. project finance transactions in Africa) in the last five (5) years. Details of the assignment name and address of the client, scope, value, and period should be provided in submitted expression of interest. A Technical and managerial capability of the firm: Demonstration by the firm of having the requisite managerial and technical capacity including relevant equipment, tools, software etc and managerial capacity to undertake the assignment in the submitted firm profile(s). Key experts shall not be evaluated at shortlisting stage. The attention of interested Consultants is drawn to Section III, paragraphs, 3.14, 3.16, and 3.17 of the World Bank’s “Procurement Regulations for IPF Borrowers” First Published July 2016 and Revised Fifth Edition September 2023, (“Procurement Regulations”), setting forth the World Bank’s policy on conflict of interest. Consultants may associate with other firms to enhance their qualifications but should indicate clearly whether the association is in the form of a joint venture and/ or a sub-consultancy. In the case of a joint venture, all the partners in the joint venture shall be jointly and severally liable for the entire contract, if selected.
